Ventus VCT plc and Ventus 2 VCT plc

Joint Offer for Subscription of up to 20,000,000 "C" Shares of 25 pence each at a Price of 100 pence per Share (the "Offer")

The Board of Directors of Ventus VCT plc is pleased to announce that, in accordance with the terms of the Joint Offer for Subscription dated 12 February 2009, 2,200,023 "C" shares of 25 pence each were allotted in Ventus VCT plc on 24 March 2009 at 100 pence per share. 

Application has been made for the admission of the 2,200,023 "C" shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's market for listed securities. Dealing in the "C" shares is expected to commence on or before 31 March 2009.

Total shares allotted to date under the Offer by Ventus VCT plc now total 2,200,023 "C" shares. Following this allotment there are now 2,200,023 "C" shares of 25 pence each and 15,000,183 ordinary shares of 25 pence each in issue. 

As at 23 March 2009, Ventus VCT plc had also received applications for the allotment of 180,680 "C" shares in the tax year 2009/2010.
