Hogg Robinson Group PLC17 October 2006 Hogg Robinson Group (the "Company") Holding(s) in Company The Company was notified on 16 October 2006 by Permira (Europe) Limited, onbehalf of Permira Europe II L.P. 2, of the following: "On 9 October 2006 we entered into an underwriting agreement (the "UnderwritingAgreement") with, amongst others, Merrill Lynch International under which,conditionally upon admission of the share capital of the Company to the OfficialList of the Financial Services Authority and to trading on the main market ofLondon Stock Exchange plc (together, "Admission"), we agreed to dispose of15,216,962 ordinary shares of 1p each in the Company ("Ordinary Shares") fromour holding at that time of 34,824,741 Ordinary Shares. In addition, under the Underwriting Agreement, we granted to Citigroup an optionentitling it to call for the delivery by us of an additional 7,528,945 OrdinaryShares. On 11 October, this option was exercised in full with the transfers ofthe Ordinary Shares thereunder to be completed upon Admission. Admission became effective on 12 December 2006.
