Report 84/2009: Dismissal of the appeal in respect to claim for acknowledgement of invalidity of Resolutions No 12 and 13 of the Ordinary General Meeting of the Bank of 4 May 2006 and repeal of challenged judgment in respect to refusal of annulling Resolutions No 4 - 8 and 11 of the Ordinary General Meeting of the Bank of 4 May 2006.
Management Board of Bank Polska Kasa Opieki S.A. ("Bank") hereby informs that by judgment of 4 September 2009 the Court of Appeal in Warsaw dismissed an appeal brought by the Bank's shareholder against judgement of Regional Court in Warsaw dismissing an action of the Bank's shareholder claiming acknowledgement of invalidity of Resolutions No 12 and 13 of the Ordinary General Meeting of the Bank of 4 May 2006 involving granting vote of approval to the Members of the Supervisory Board and the Management Board of the Bank and annulling Resolutions No 4 - 8 and 11 of the Ordinary General Meeting of the Bank of 4 May 2006 involving approval of: (i) the Management Board statement of the Bank activity for 2005, (ii) the Bank financial statements for 2005, (iii) the Management Board statement of the Bank Capital Group activity for 2005, (iv) the Bank Capital Group financial statements for 2005, (v) division of proceeds for 2005, and (vi) statement of the Supervisory Board activity for 2005, as regards dismissal by Regional Court in Warsaw the claim for acknowledgement of invalidity of Resolutions No 12 and 13 and repealed the challenged judgment as regards dismissal of claim for annulling Resolutions No 4 - 8 and 11 of the Ordinary General Meeting of the Bank of 4 May 2006, and in this scope passed on the case to a court of first instance for further examination.
Legal basis: § 38 section 1 point 6 of the Minister of the Finance Minister's Ordinance of 19 February 2009 re. current and periodic reports published by the issuers of securities and the rules of equal treatment of the information required by the laws of non-member states.
