Hogg Robinson Group plc14 June 2011 Hogg Robinson Group (the 'Company') Directors' interest in shares
The Company hereby notifies the following transactions by Directors of the Company and/or persons designated as connected to them for purposes of the Model Code.
1) On 13 June 2011, Mr Paul Williams purchased 50,000 ordinary shares in the Company at a price of 62 pence per share. Following this purchase, Mr Williams holds 50,000 ordinary shares representing approximately 0.002 per cent of the total voting rights of the Company.
2) On 13 June 2011, Mr Julian Steadman exercised 210,838 options under the Company's Performance Share Plan, which were then satisfied by the transfer of 210,838 shares from the Hogg Robinson Employee Benefit Trust. At the request of Mr Steadman, these shares were registered in the name of his spouse, Mrs Barbara Helen Steadman. The closing price of the Company's shares on the date of exercise was 61.5p.
In addition, on 8 June 2011, Mrs Barbara Helen Steadman transferred 20,000 shares into the name of each of their sons (neither of which are connected persons for the purposes of the Model Code).
Following these transactions Mr Steadman has notified the Company that he is to be treated as beneficially interested in a total of 1,318,215 shares (representing 0.43% of the Company's issued share capital).
Notification of each of the above transactions is now made in accordance withDisclosure Rule 3.1.4R. - ENDS - EnquiriesHogg Robinson Group plc
