Director and PDMR Dealings
Total Voting Rights
The Company has received notification that Paul Daniell, a Director of Interhigh Education Limited, has exercised options over 1,000,000 ordinary shares of 1 pence each ("Ordinary Shares") in the share capital of the Company ("the Option Shares"), granted in September 2016 each at an exercise price of 4.5 pence each.
Application has been made for the 1,000,000 new Ordinary Shares to be admitted to trading on AIM, which is expected to take place on 20 November 2019. The new Ordinary Shares will rank, pari pasu, with the existing Ordinary Shares in issue.
Mr Barrie Reginald John Whipp, Chairman, has agreed to purchase 250,000 of these shares and has agreed the purchase of the remaining 750,000 shares with a supportive shareholder. Mr. Daniell has therefore notified the Company that he has sold 1,000,000 Ordinary Shares at a price of 10.75 pence per share to these parties and Mr Whipp has notified the Company that he has purchased 250,000 shares into his SIPP at the same price.
Following this transaction Mr. Daniell's interest in the share capital of the Company, in conjunction with Mrs Jacqueline Daniell, CEO, is 13,066,490 Ordinary Shares, representing 9.51 per cent. of the Company's issued share capital.
Following his purchase, Mr Whipp's holding in the company increased to 991,000 shares, representing 0.72% of the issued share capital.
In accordance with the provisions of the Disclosure Guidance and Transparency Rules of the FCA, the Company confirms that, following this issue, its issued share capital will comprise 137,390,967 Ordinary Shares of 1 pence each. All Ordinary Shares shall have equal voting rights and none of the Ordinary Shares are held in treasury. The total number of voting shares in the Company immediately following Admission will therefore be 137,390,967.
