VEDANTA RESOURCES PLC ANNOUNCES PROPOSED OFFERING OF BONDS

LONDON, May 16, 2013 - Vedanta Resources plc ("Vedanta", LSE: VED) today announced that it intends to offer long 5-year (Jan 2019) and 10-year Bonds in a private offering to qualified institutional buyers under Rule 144A of the Securities Act of 1933, as amended ("Securities Act"), and outside the United States under Regulation S under the Securities Act.

Bank of America Merrill Lynch, Barclays, Citigroup, J.P. Morgan, The Royal Bank of Scotland and Standard Chartered Bank (all appearing in alphabetical order) will act as Joint Global Coordinators, Joint Lead Managers and Joint Bookrunners and Deutsche Bank will act as Joint Bookrunner. A global roadshow for the offering will commence on May 17, 2013. The offering will be subject to market and other conditions.

Vedanta intends to use the proceeds of the offering to refinance a portion of its obligations under the its existing 2010 term loan facility (that was entered into to partly finance Vedanta's acquisition of a controlling stake in Cairn India), which will result in a cancellation of Vedanta's commitments under a bridge facility, and to pay related fees and expenses and for general corporate purposes.

The Bonds have not been and will not be registered under the Securities Act, or any state securities laws of the United States, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. Vedanta has no intent to register the Bonds in the United States or any other jurisdiction.
