('Innovation Group' or the 'Company')
On 26 June 2012 the following executive directors of the Company and other persons discharging managerial responsibility ("PDMRs") were granted options over ordinary shares of 2 pence each under the Company's all-employee UK Sharesave Plan (the "UK Plan") or the International Sharesave Plan (the "ISP") as summarised below:

The options each have an exercise price of 18.3 pence per ordinary share.
The options under the UK Plan will ordinarily become exercisable for a period of 6 months commencing on 1 September 2015.
The options under the ISP will ordinarily become exercisable for a period of 10 days commencing on 1 September 2015.
No consideration was paid for the grant of the options.
The Company was informed by the executive directors and other PDMRs of the above transaction on 26 June 2012.
