Thomas Cook Group PLC18 February 2008 18 February 2008 Thomas Cook Group plc (the "Company") Notice of Extraordinary General Meeting It is announced that the directors of the Company intend to proceed with aprogramme of repurchasing up to €375 million worth of the Company's shares (the"Share Repurchase Programme"). The Company has today sent shareholders acircular and notice convening an Extraordinary General Meeting to be held at 10:30 am on 12 March 2008 at The Institution of Engineering and Technology, 2 SavoyPlace, London, WC2R 0BL. As explained more fully in the circular the Company intends to implement theShare Repurchase Programme by way of both ongoing on-market repurchases on themain market of the London Stock Exchange and off-market repurchases pursuant toan agreement (the "Off-market Repurchase Agreement") entered into with ArcandorAG and its wholly-owned subsidiary KarstadtQuelle Freizeit GmbH. At the EGM thefollowing special resolutions will be proposed as required by the Companies Act1985: (i) to authorise the Company to make on-market repurchases of its shares; and (ii) to approve the proposed terms of the Off-market Repurchase Agreement.
