Notice of Annual General Meeting
Further to the publication on 27 April 2021 of the TBC Bank Group PLC ("TBC PLC") Annual Report for the financial year ended 31 December 2020, TBC PLC announces that it has, today, posted or made available to shareholders the notice of Annual General Meeting and related form of proxy (together, the "Notice of AGM").
The Notice of AGM has been submitted to the National Storage Mechanism and will shortly be available for inspection at the National Storage Mechanism located at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism. The Notice of AGM is also available on TBC PLC's website at www.tbcbankgroup.com.
The Annual General Meeting will be held at 3pm (BST) on Monday, 14 June 2021 at the offices of Baker McKenzie, 100 New Bridge Street, London, EC4V 6JA, United Kingdom (the "AGM").
COVID-19 Update and AGM Arrangements
In view of the ongoing Covid-19 pandemic, it is currently expected that shareholders (other than those required to form a quorum at the meeting) will be prohibited from attending the AGM this year. At this time the Board therefore requests that shareholders do not attend the AGM, but instead appoint a proxy and provide voting instructions in advance of the AGM, either electronically or by using the form of proxy. The Board considers engagement with its shareholders to be of paramount importance and, given the request that shareholders do not attend the AGM, shareholders are encouraged to submit questions, at least seven days prior to the date of the AGM, relating to the business being dealt with at the AGM, directly to the Chairman, Arne Berggren, using the following e-mail address: ir@tbcbank.com.ge.
Results of the AGM
The results of the votes for each of the resolutions put forward at the AGM will be published via regulatory news service as soon as possible after the conclusion of the AGM and published on TBC PLC's website at www.tbcbankgroup.com.
