Director Dealing and Warrant Update
The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or "the Company") have been notified that on 16 October 2015 Scrimshaw Nominees Pty Limited, as trustee for The Scrimshaw Family Trust ("SFT"), of which Mr RJ Scrimshaw is a beneficiary, served notice to exercise warrants previously issued to SFT on 14 March 2014 ("Warrants") into ordinary shares in the Company.
SFT is exercising 833,333 Warrants at 18p per Warrant. As a result Russell Scrimshaw will have a beneficial interest in 40,966,837 shares in the Company representing 1.81% of the Company's issued share capital.
Since the date of the last Warrant announcement on 8 October 2015, and including the SFT exercise mentioned above, the Company has received Warrant exercise notices for and issued a further 37,908,333 ordinary shares under the block listing application announced on 28 May 2015 ("Warrant Shares"). The Warrant Shares will rank pari passu with the Company's existing ordinary shares.
The issue of the Warrant Shares at 18p per share, will raise a total of approximately £6.8 million and the monies will be used for general working capital purposes.
Following these issues, the Company's issued share capital will consist of 2,257,538,623 ordinary shares. This figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
