SMG PLC05 May 2005 Two SMG Directors to retire following AGM Two of the longest-serving Non-Executive Directors of SMG plc ("SMG"), CalumMacLeod (Deputy Chairman and Senior Independent Non-Executive Director) andDonald Waters, are to retire from the Group's Board following SMG's AnnualGeneral Meeting on 3 June. Calum and Donald joined the Group's Board in 1997, following the merger ofScottish Television plc with Grampian Television plc ("Grampian Television"), ofwhich Calum was Chairman and Donald was Deputy Chairman and Chief Executive. Although retiring from the Board, both will retain an ongoing association withthe Company, in that Calum has agreed to carry on in his role as Chairman ofGrampian Television's regional board and Donald will stay on as chairman ofTrustees of the Scottish and Grampian Television Retirement Benefits Scheme andthe Caledonian Publishing Pension Scheme. Paying tribute to their time with SMG, Chris Masters, Chairman, said: "Calum and Donald's contributions to SMG's Board have been immeasurable. Theirhard work, dedication to directors' duties and wise counsel have been withoutequal and they will be missed by everyone at SMG. I'd like to personally thankCalum and Donald for all their support and to wish them well in the future." Calum MacLeod said: "It has been a great privilege for me to serve on the SMG Board following themerger with Grampian Television. I have every confidence that, under the capabledirection of the Board and the management team, the Group's substantialdevelopment potential will be realised in terms of growth in shareholder value." Donald Waters said: "I have greatly enjoyed working with the Board and management at SMG over thepast years. The Company is in sound heart with future prospects looking mostpromising. I wish Chris Masters and his very capable team under Andrew Flanaganevery success in developing these opportunities in the future." Following Calum MacLeod's retirement, David Dunn will take over as SeniorIndependent Non-Executive Director.
