Result of AGM & Transfer of Deferred Shares
The Board is pleased to announce that, at the Annual General Meeting of the Company held today, all resolutions proposed were duly passed.
The Company also announces that it was notified on 22 January 2014 that, on 22 January 2014, St Vincent (Equities) Limited transferred 14,985,748 Deferred Shares of 20p each in the issued share capital of the Company to Alex McLeod (Chief Executive Officer) for nil consideration as part of the Clydesdale Bank's re-organisation of its shareholding in the Company. We note that holders of Deferred Shares of 20p each in the issued share capital of the Company have no right to vote on any resolution or to receive notice of, attend, speak or to vote at any general meeting of the Company, nor are they entitled to participate in the profits of the Company or in a return of capital.
The Deferred Shares of 20p each therefore have no economic value. Mr McLeod's shareholding of 20,000 Ordinary Shares in the issued share capital of the Company remains unchanged.
