Smiths Group PLC25 June 2007 Smiths Group - Return of Cash - Single B Share Dividend A dividend of 365 pence per B Share has been declared by a committee of theBoard in respect of those B Shares for which elections or deemed elections havebeen made by Shareholders for the Single B Share Dividend, as announced by theCompany on 22 June 2007. It is expected that Shareholders receiving the Single B Share Dividend willeither be sent cheques or have their nominated bank accounts credited inaccordance with existing mandate instructions or have their CREST accountscredited (as appropriate) in respect of such Single B Share Dividend on 28 June2007. Following payment of the Single B Share Dividend, those B Shares on which theSingle B Share Dividend has been paid will be converted into Deferred Shareswhich will have negligible value and which may be purchased by the Company foran aggregate consideration of one penny. It is expected that the Deferred Shareswill be purchased by the Company on 28 June 2007. Terms defined in the Circular to Shareholders dated 16 May 2007 have the samemeaning when used in this announcement.
