DIRECTOR & Senior Manager SHARE AWARDS

Seeing Machines Limited (AIM:SEE), a leading developer of advanced computer based imaging software systems announces that it has today issued 2,327,040 new fully paid ordinary shares ("New Ordinary Shares") to certain Directors and senior managers under the July 2010 Executive Share Plan which was approved at the Annual General Meeting in November 2010. All shares issued under the plan are based on a salary/fee sacrifice arrangement.

Under the plan the Directors' received shares as follows:

1. William Mobbs shares are held in the names of William Mobbs and Catherine Holbery ATF The Bilbo Super Fund.

2. Robert Sales shares are 2,745,715 shares held in the name of Caffe Pty Ltd ATF the R C Sale Superannuation Fund and 2,621,369 shares held by Robert's wife Paula Kay Sale.

3. Nicholas John Cerneaz holds 1,467,332 shares through Cenika Pty Ltd ATF Cenika Super Fund and 393,081 in his own name.

4. David Gaul's holds 1,960,586 shares through his company Jaiclimb Pty Limited.

Under the Plan the following senior managers received shares as follows:

5. Belinda Burgess holds 779,754 shares in her own name and 1,435,680 shares in the names Belinda Burgess and Jennifer Kruse as trustees for the Meg & Susie Super Fund.

Application has been made for the New Ordinary Shares to be admitted to trading on AIM. It is expected that admission will occur and that dealings will commence at 8.00 a.m. on 24 January 2011. Immediately following admission of the New Ordinary Shares, the Company will have 408,141,447, fully paid ordinary shares in issue.
