Announcement on Implementation of
2020 Annual Profit Distribution
This announcement contains the English translation of the Chinese version of "Announcement on Implementation of 2020 Annual Profit Distribution" as published on the website of the Shanghai Stock Exchange, and is provided for your reference only. In case of discrepancy between the Chinese version and the English version, the Chinese version shall prevail.
I. Session and date of the General Meeting of Shareholders for passing the distribution scheme
This profit distribution scheme is deliberated and passed at 2020 Annual General Meeting of Shareholders held by the Company on 29 June 2021.
II. Distribution scheme
1. Distribution year: 2020
2. Distribution object:
The distribution object refers to all the Company's shareholders registered in China Securities Depository and Clearing Corporation Limited Shanghai Branch (hereinafter referred to as "CSDC Shanghai Branch") as of closing of Shanghai Stock Exchange on the afternoon of 17 August2021, the record date.
3. Distribution scheme:
This profit distribution takes the Company's total share capital of 6,965,873,347 shares before the scheme implementation as its base, the cash dividend of RMB 0.28 (tax inclusive) is distributed to the shareholders per share, and totally, the cash dividend of RMB 1,950,444,537.16 is distributed.

IV. Implementing measure of distribution
The cash dividends of State Development and Investment Corp., Ltd. (B88***7978), China Yangtze Power Co., Ltd. (B88***8342、B88***9707), Citibank, National Association (B88***2902) are directly distributed by the Company. The distribution of cash dividends for shareholders other than those with cash dividends directly distributed is entrusted by the Company to CSDC Shanghai Branch.
For eligible investors who invest in Global Depository Receipts (GDRs) issued by the Company on the London Stock Exchange ("GDR investors") and comply with the relevant domestic and overseas regulatory rules, the cash dividends will be paid by the Company to "Citibank, National Association", the nominal holders of GDRs corresponding to the underlying A shares. According to the tax regulations such as the Enterprise Income Tax Law of the People's Republic of China, the Company withholds the income tax at a rate of 10%. After receiving the GDR dividend income, if GDR investors need to enjoy the relevant tax agreement (arrangement) treatment, they can apply to the Company's competent tax authority by themselves in accordance with the regulations.
The record date for GDR investors will be the same as that for A-shareholders, and cash dividends will be paid by Citibank and National Association to GDR investors through Euroclear Bank SA/NV and Clearstream Banking, S.A. on 25 August 2021 (London time).
