PUBLICATION OF PROSPECTUS

Further to the announcement of the proposed £71.4 million Rights Issue made earlier today (the "Rights Issue Announcement"), the Company announces that a prospectus dated 21 May 2009 issued by Shanks (the "Prospectus") which includes a notice of extraordinary general meeting to be held at 11:00 am on 8 June 2009 at the offices of Ashurst LLP, Broadwalk House, 5 Appold Street, London EC2A 2HA ("Ashurst"), has been approved by the UK Listing Authority and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at 25 The North Colonnade, Canary Wharf, London E14 5HS.

The Prospectus will be posted to Shareholders (other than those in the United States, Canada, Australia, Japan or South Africa) today and copies will be available at the Corporate Head Office of Shanks at Dunedin House, Auckland Park, Milton Keynes, MK1 1BU and at the offices of Ashurst during usual business hours on any weekday (except Saturdays, Sundays and Bank Holidays) up to and including 9 June 2009. In addition, the Prospectus will shortly be available to view on the Company's website (www.shanksplc.co.uk).

The Prospectus will provide further details on the proposed Rights Issue, the Rights Issue Shares, the Provisional Allotment Letters, the Nil Paid Rights and the Fully Paid Rights (together, the "Securities") to be offered pursuant to the Rights Issue.

In addition, the Annual Report for the year ended 31 March 2009 has been submitted to the Document Viewing Facility at the UK Listing Authority and is also available for inspection at the Company's registered office and on the Company's website.
