Deferred Annual Share Bonus Scheme - release of shares
The Company announces that on 14 August 2012 ordinary shares of 1p each in the Company were transferred to the Executive Directors of the Company and certain persons discharging managerial responsibility ('PDMRs') by the Paterson Zochonis Employee Trust ('the Trust') in relation to deferred awards made in 2009 under the Company's Deferred Annual Share Bonus Scheme ('DASBS'). The shares have been held in trust for three years and have been released in accordance with the rules of the DASBS.
UK residents pay tax and National Insurance at the time the shares are transferred. The Executive Directors and PDMRs sold the number of shares listed below for a price of £3.08 per share to discharge their tax obligations arising from the release of the shares.

On the same day, Mr Leigh sold 17,971 ordinary shares to the Trust for a consideration of £3.08 per share.

On the same day, Mr G Kostianis, who has been designated by the Board of the Directors of the Company as a PDMR, was awarded 15,330 shares in the Company under the DASBS. Following this award, Mr Kostianis holds 107,860 shares in the Company (comprising 0.03 % of the total shares in issue).
The Trust is a discretionary trust under which the class of beneficiaries who may benefit comprises all bona fide employees and former employees of the Company and its subsidiaries including members of such employees' and former employees' immediate families. Accordingly, the Executive Directors and PDMRs of the Company are included in the class of beneficiaries and are deemed to have an interest in all of such shares. Subsequent to the above dealings, the Trust's holding in the ordinary shares of 1p in the Company is 143,223 shares (0.03%).
