Application for Admission of New Ordinary Shares to Listing, Total Voting Rights and Issued Share Capital
Poundland Group plc ("Poundland" or "the Group"), Europe's leading single price general merchandise retailer can confirm that further to the announcement on 28 September 2015, regarding the completion of the acquisition of 99p Stores Ltd ("99p Stores") (the "Acquisition"), application has been made to the UK Listing Authority ("UKLA") and to the London Stock Exchange for admission of 844,654 ordinary shares of 1 pence each ("New Poundland Shares") to the official list of the UKLA and to trading on the Main Market of the London Stock Exchange. The New Poundland Shares have been issued as partial consideration for the Acquisition.
Admission of the New Poundland Shares is expected to occur on 02 October 2015 and the New Poundland Shares will rank pari passu with the existing ordinary shares of the Group.
In conformity with the UK Financial Conduct Authority's Disclosure and Transparency Rules (DTR 5.6.1 and 5.6.1A), Poundland hereby provides notification that following the issue of the New Poundland Shares and the issue of the 17,857,143 ordinary shares issued pursuant to the placing announced by Poundland on 24 September 2015, the Company's issued share capital now consists of 268,701,797 ordinary shares of 1 pence each with voting rights.
The Company does not hold any ordinary shares in treasury.
Therefore, the total number of voting rights in the Company is 268,701,797.
The above figure (268,701,797) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or a change to their interests in, the Company under the FCA's Disclosure and Transparency Rules.
