Morgan Sindall PLC14 March 2007 Morgan Sindall plc ("the Company") Notification of Transactions by Directors and Persons Discharging ManagerialResponsibility Morgan Sindall plc Long Term Incentive Plan ("LTIP") The Company announces the number set out below, of ordinary shares of 5p each inthe capital of the Company ("shares") that vested on 9 March 2007 in certaindirectors and persons discharging managerial responsibility ("PDMRs") of theCompany pursuant to the terms of the LTIP. These shares were conditionallyallocated to the directors and PDMRs on 9 March 2005. In addition, the directors and PDMRs have disposed of a proportion of the vestedshares equal to the tax and National Insurance Contribution payable in respectof them. Details of the directors and PDMRs and the number of shares vesting under theLTIP and the number of shares disposed of are set out below.
