Exercise of Options and Total Voting Rights
Further to the announcement on 25 June 2014, the Company announces that on 23 June 2014 certain directors and persons discharging managerial responsibilities ("PDMRs") exercised options over 349,457 New Ordinary Shares, under the Company's Performance Share Plan ("PSP"). No amount was payable on the exercise of these awards.

Application was made for the admission of the New Ordinary Shares to listing on the Official List and to trading on the main market of the London Stock Exchange Plc. The admission of such shares became effective on 30th June 2014.
Following admission, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) McKay Securities PLC confirms that the total number of ordinary shares in issue at the date of this notice is 92,263,196 with each share carrying the right to one vote. No ordinary shares are held in treasury. Therefore, the total number of voting rights in the company is 92,263,196.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in McKay Securities PLC under the FCA's Disclosure and Transparency Rules.
