NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
Pursuant to the notification obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies the following changes in the interests of directors and persons discharging managerial responsibilities ("PDMRs") in Ordinary Shares of 10p each in the Company ("Shares") on 6 November 2015.
Just Retirement Group plc Long Term Incentive Plan ("LTIP")
Awards under the LTIP were made over Shares, as set out in the table below. Awards were made in the form of nil-cost options at a price of 164.3p per Share, which become exercisable on the third anniversary of the grant date, subject to the satisfaction of performance targets. Options are then exercisable until the tenth anniversary of the grant date, unless the exercise period is shortened in accordance with the LTIP rules.
The price used to calculate the number of LTIP Shares awarded is the average of the mid-market closing price of a Share in the Company on the five consecutive business days immediately preceding the grant on 6 November 2015. Details of the LTIP performance targets applicable to the 2015 awards are included in the Directors' Remuneration Report contained in the Company's Annual Report and Accounts for 2014/15 published on 29 September 2015.
Just Retirement Group plc Deferred Share Bonus Plan ("DSBP")
Awards under the DSBP were made over Shares, as set out in the table below. Awards were made in the form of nil-cost options at a price of 159.0p per Share, which become exercisable on the third anniversary of the grant date. Options are then exercisable until the tenth anniversary of the grant date, unless the exercise period is shortened in accordance with the DSBP rules.
The price used to calculate the number of DSBP Shares awarded is the subscription price of a new Share in the Company's Placing and Open Offer which closed on 13 October 2015 in accordance with its terms. Further information on the DSBP is included in the Directors' Remuneration Report contained in the Company's Annual Report and Accounts for 2014/15 published on 29 September 2015.
