Update on Acquisition of Merian Global Investors Limited ("Merian") and Approval and Publication of Prospectus

Further to its announcement on 17 February 2020 in relation to the proposed acquisition of Merian (the "Acquisition") and its announcement on 21 May 2020 in relation to the approval of the Acquisition by Jupiter shareholders, Jupiter is pleased to announce that the Financial Conduct Authority (the "FCA") has today approved its prospectus (the "Prospectus") to be issued in connection with the admission of the 95,360,825 new ordinary shares (the "Consideration Shares") to be issued to the sellers of Merian in connection with the Acquisition to the premium listing segment of the Official List of the FCA and to trading on the main market for listed securities of the London Stock Exchange ("Admission").

Jupiter is also pleased to announce that all of the conditions for completion of the Acquisition have now been satisfied, other than the FCA and the London Stock Exchange respectively confirming that Jupiter's applications for Admission have been approved. Completion of the Acquisition is expected to occur on 1 July 2020.

The Prospectus will shortly be available for viewing on the Company's website at www.jupiteram.com.

A copy of the Prospectus will also shortly be submitted to the FCA's National Storage Mechanism and will be available for inspection on its website at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

It is expected that Admission will become effective and that unconditional dealings in the Consideration Shares will commence at 8.00 a.m. on 2 July 2020.
