Euro Medium Term Note Programme
To the holders of each outstanding series of notes (the "Notes") with respect to which J.P. Morgan Bank Dublin plc (formerly known as Bear Stearns Bank plc) is issuer and originally issued by Bear Stearns Global Asset Holdings, Ltd. pursuant to:
(i) the terms of the Trust Deed; and
(ii) the Euro Medium Term Note Programme of The Bear Stearns Companies LLC (formerly known as The Bear Stearns Companies Inc.), J.P. Morgan Bank Dublin plc (formerly known as Bear Stearns Bank plc) (the "Issuer"), Bear Stearns Global Asset Holdings, Ltd. and Bear Stearns Caribbean Asset Holdings Ltd. unconditionally and irrevocably guaranteed by JPMorgan Chase & Co..
Pursuant to a sixteenth supplemental trust deed dated 16 August 2010 between JPMorgan Chase & Co., the Issuer, Bear Stearns Global Asset Holdings, Ltd. and Citicorp Trustee Company Limited (the "Sixteenth Supplemental Trust Deed"), Bear Stearns Global Asset Holdings, Ltd. was released and discharged with effect from 16 August 2010 from all and any of its obligations to perform and observe the terms of the guarantee in respect of the Notes which it provided pursuant to the Fifteenth Supplemental Trust Deed.
The Notes shall continue to have the benefit of the guarantee provided by JPMorgan Chase & Co. pursuant to Clause 7 of the Trust Deed.
The Sixteenth Supplemental Trust Deed shall be available for viewing at the offices of the Agent specified below.

Terms not otherwise defined herein shall have the meanings ascribed to them in the Sixteenth Supplemental Trust Deed.
