RESULTS OF THE REPURCHASE OF A SHARES
On April 7, 2020, the Company implemented the initial repurchase of A Shares by way of centralized price bidding through the trading system of Shanghai Stock Exchange. On January 8, 2021, the Company completed the repurchase. During the repurchase period, the Company has accumulatively made an actual repurchase of 90,766,495 A Shares of the Company (the "Repurchased A Shares"), accounting for 0.9999999% of the total issued share capital (9,076,650,000 shares) and 1.23% of the total number of issued A Shares (7,357,604,320 shares) of the Company on January 8, 2021, with the highest repurchase price of RMB23.08 per share and the lowest repurchase price of RMB17.19 per share. The average repurchase price was RMB18.46 per share and the total amount of funds used was RMB1,675,361,296.88 (excluding transaction costs).
No difference between the actual implementation of the A Shares repurchase plan and the original share repurchase plan disclosed has been found. The Company has completed the repurchase pursuant to the plan as disclosed.
The share repurchase has no material impacts on the normal operating activities, financial position and future development of the Company, will not lead to any failure of the Company to meet the listing conditions in terms of shareholding distribution, and will not lead to changes in the control of the Company.
The Repurchased A Shares are fully deposited in the repo-securities account of the Company. According to the Company' s A Shares repurchase plan, the repurchased shares are intended to be used for the source of stocks for the restricted stock incentive plan. During the period in which the Repurchased A Shares are deposited in the repo-securities account of the Company, they do not have the rights of voting at general meetings, profit distribution, capitalization from reserve to share capital, subscription of new shares and right issues and pledge. Subsequently, the Company will utilize the repurchased shares as disclosed and fulfill its decision-making procedures and information disclosure obligation in accordance with the regulations.
