30 July 2013 Hogg Robinson Group (the 'Company') Directors' interest in shares The Company hereby notifies that on 23 July 2013, David Radcliffe and KevinRuffles have each exercised the following vested options under the Company'sPerformance Share Plan ("PSP") and Share Option Plan ("CSOP"): PSP CSOP David Radcliffe 1,012,499 100,103 Kevin Ruffles 536,825 2,015,386 (Note 1) (Note 1: includes 1,371,196 options vested but unexercised from a prior year) The exercise of the above options were all satisfied by the transfer of sharesfrom the Hogg Robinson Employee Benefit Trust. The CSOP options were satisfiedin the form of equity-settled share appreciation rights calculated using thefollowing exercise and closing prices. As a result of these transactions: 1) Having retained the shares resulting from the exercise of his CSOP award,David Radcliffe has increased his overall holding in the Company and is nowbeneficially interested in 2,428,062 shares in the Company, representing 0.75%of the Company's issued share capital equal to approximately 4.2 times hisannual basic salary. He also continues to be beneficially interested in 2,586,196options which vested under the CSOP on 1 June 2012, and a further 1,114,896 optionswhich vested under the CSOP on 21 June 2013. 2) Having retained 172,822 shares resulting from the exercise of his CSOPawards, Kevin Ruffles has increased his overall holding in the Company and isnow beneficially interested in 596,591 shares in the Company representing 0.18%of the Company's issued share capital equal to approximately 1.5 times hisannual basic salary.
