Statement by DNATA
DNATA, a member of the Emirates Group, has today informed Hogg Robinson Group plc ("Hogg Robinson") that DNATA has today purchased 57,341,420 ordinary shares of one pence each in Hogg Robinson, representing 18.69 per cent. of Hogg Robinson's ordinary issued share capital. These shares, which have been acquired for investment purposes, comprise DNATA's total holding in Hogg Robinson. DNATA confirms that it has no current intention of making a formal offer for Hogg Robinson. DNATA intends to be a long-term, supportive shareholder in Hogg Robinson.
For the purposes of Rule 2.8 of the City Code on Takeovers and Merger (the "City Code"), DNATA reserves the right to announce an offer or possible offer or make or participate in an offer or possible offer for Hogg Robinson and/or take any other action which would otherwise be restricted under Rule 2.8 of the City Code within the next six months in the event that: (i) an agreement or recommendation from the Board of Hogg Robinson is forthcoming; or (ii) there is an announcement by a third party of a possible offer or a firm intention to make an offer for Hogg Robinson or Hogg Robinson announces that it has received an approach in relation to a possible offer from a third party; or (iii) Hogg Robinson announces a "whitewash" proposal for the purposes of Rule 9 of the City Code or a reverse takeover; or (iv) there is a material change in circumstances.
