Under the terms of the AnnualIncentive Plan, the number of shares granted to each participant was calculatedby reference to the closing market value of the Company's shares on 26thFebruary 2008 of 352p, being the date of the announcement of the full yearresults for 2007. The participants have all the rights arising from holding existing shares, butduring a restricted period of one calendar year, the participants are notallowed to sell, assign, exchange, transfer, pledge, hypothecate or otherwisedispose of or encumber the granted shares.
