Notification of Directors' Interests in the Share Capital of the Company

 

New Bonus Deferral and Share Matching Plan

 

The Company today announces that following consultation with its major shareholders earlier this year, the Remuneration Committee of the Board has approved the establishment of a salary sacrifice, bonus deferral and share matching plan whereby the executive directors and certain senior managers will have the opportunity to elect to invest up to 20% of their annual salary and up to 80% of their annual bonus in ordinary shares. Subject to continued employment, the retention of these shares and the meeting of a demanding financial performance target, the investment will be matched on a gross basis by matching shares, in the form of options with a nominal value exercise price, which will, subject to these conditions, vest after three years.

 

The Company has been unable to implement this plan earlier in the year because it has been in a closed period in relation to acquisitions under consideration. The investment of the executive directors and senior managers in the placing announced earlier this week will be carried out under this plan. Subject to the conditions outlined above, the investment of the executives will be matched, grossed up for income taxes, at up to 1.5x the investment made. The conditional matching awards to the executive directors are set out in the table below. The figures reflect the maximum number of matched shares over which the option might be exercised. The actual number will depend upon the extent to which the established performance conditions are satisfied over the performance period.

Executive Share Option Scheme

 

The Company also gives notice that Richard Law (Chief Executive) was awarded an option over 350,000 Ordinary 2.5p Shares in Company. The exercise price of the option is 43 pence per share and the option will be exercisable (subject to the rules of the Company's Executive Share Option Scheme which include certain performance criteria) between 3 November 2014 and 2 November 2021.

 

Following these notifications, Mr Law has options over a maximum of 2,497,820 Ordinary 2.5p Shares in the Company and Mr Wilson has options over a maximum of 981,294 Ordinary 2.5p Shares in the Company.
