10 June 2014 FirstGroup plc ("the Company") Total Voting Rights In conformity with the Disclosure and Transparency Rules, the Company advisesthe market that as at 1 June 2014 its issued share capital comprised1,204,926,756 ordinary shares of 5 pence each. The Company held 159,531ordinary shares in treasury and the issued share capital of the Company whichcarries voting rights of one vote per share comprised 1,204,767,225 ordinaryshares of 5 pence each (excluding treasury shares). The above figure of 1,204,767,225 may be used by shareholders as thedenominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in, theCompany under the Disclosure and Transparency Rules.
