3 July 2014 FirstGroup plc Notification of transactions of directors/persons discharging managerial responsibility Grant of awards under the FirstGroup plc Long Term Incentive Plan FirstGroup plc (the "Company") announces that the following Directors and otherpersons discharging managerial responsibilities ("PDMRs") were granted an awardon 2 July 2014 over the Company's ordinary shares of 5 pence under theCompany's Long Term Incentive Plan ("Award"). The Awards will normallyvest at the end of the three year performance period (31 March 2017) subject tothe satisfaction of performance conditions relating to absolute growth in theCompany's earnings per share ("EPS") and total shareholder return ("TSR")against an appropriate comparator group and provided the Director or PDMRremains in employment. The Committee has discretion to vary the proportion ofAwards vesting if it considers the outcome would otherwise not be a fair andcomplete reflection of the underlying performance of the Group over the plancycle. Awards granted to US participants are structured as conditional awards underwhich, following vesting, the Shares are transferred to the participants fornil payment. Awards granted to UK participants are structured as nil-costoptions which may be exercised for up to 12 months following vesting.
