NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY
Wolseley plc (the "Company") wishes to announce that on 31 March 2016, it transferred 9,843 ordinary shares of the Company of 10 53/66p each held by the Company in treasury ("Treasury Shares") to employees of the Wolseley Group in satisfaction of options and awards under the Company's International Sharesave Plan 2011 ("ISP Plan") and the Wolseley Group Executive Share Option Plan 2012 ("ESOP Plan"). The exercise price of each share under option in respect of the ISP Plan was between 2,768 pence and 3,253 pence. The exercise price of each share under option in respect of the ESOP Plan was 2,951 pence.
As a consequence of that transfer, the Company now holds 11,649,174 Treasury Shares and its issued share capital (excluding Treasury Shares) is 254,986,932.
The total voting rights figure (of 254,986,932) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
