Exercise of Share options and disposal of Shares
Wolseley Group Share Option Plan 2010 ("Plan")
On 26 March 2015, the Company was notified that on 26 March 2015, a PDMR exercised options and disposed of Shares as set out in the table below.
Following receipt by the Company of the application from the PDMR relating to the exercise of options under the Plan, the Company chose to net settle certain of the options by delivering Shares with a market value equal to the settlement value of the options (being the difference between the option price and the market value of the option shares).
The Shares vesting under the Plan were exercised at an option price of 1,879 pence per Share. The price for the disposal of the Shares set out below was 3,992.4501 pence.

Purchase of Shares
On 26 March 2015, the Company was notified that on 26 March 2015 Jacky Simmonds, a Director and PDMR, purchased 2,000 Shares in the Company at a price of 4,007 pence per Share.
These disclosures are made pursuant to the Financial Conduct Authority's Disclosure and Transparency Rule 3.1.4 R. The transactions took place in the UK and the Shares are listed on the London Stock Exchange.
