Transaction in Own Shares

Essentra plc ("Essentra", or the "Company") announces that on 3 April 2023 it purchased the following number of its ordinary shares of 25 pence each in the Company ("Ordinary Shares") from Peel Hunt LLP as part of the buyback programme announced on 29 March 2023 (the "Buyback Programme").

Essentra intends to hold the purchased Ordinary Shares in treasury.

Following the settlement of the above purchases, Essentra has purchased a total of 288,312 Ordinary Shares since the commencement of the Buyback Programme and will have 302,590,708 Ordinary Shares of 25 pence each in issue. 1,699,900 Ordinary Shares are held in treasury. The figure 300,890,808 represents the total number of voting rights in Essentra and can be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules. 

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (as such Regulation has become part of domestic law by virtue of and for the purposes of the European Union (Withdrawal) Act 2018 (as amended by the European Union (Withdrawal Agreement) Act 2020) and as such Regulation has been amended in such form by any regulations made under that Act), the schedule below contains detailed and aggregated information of the individual trades made by Peel Hunt LLP as part of the Buyback Programme.
