Voting Rights and Capital
Ecofin Water & Power Opportunities plc announces that as a result of the exercise of subscription rights by holders of Subscription Shares on the Final Subscription Date, 31 May 2012, 852 Ordinary Shares have been allotted from the Ordinary Shares held by the Company in treasury. The Ordinary Shares in issue, Ordinary Shares held in treasury, and the Total Voting Rights attaching to Ordinary Shares in issue as at the date of this announcement are therefore now as follows:

Following the passing of the Final Subscription Date, a Final Subscription Trustee was appointed to consider whether the net proceeds from the exercise of outstanding Subscription Share Rights would exceed the costs incurred in exercising those rights. Given the price for exercise and the then prevailing market price the Final Subscription Trustee determined not to exercise the outstanding Subscription Share Rights, and accordingly all unexercised Subscription Share Rights have lapsed.
