A total of 5,511,727 new ordinary shares of 5 pence each("Placing Shares") have been placed, by Hoare Govett Limited, with institutionsat a price of 240 pence per share, raising approximately £13.2 million beforecommissions and expenses. The Placing Shares will be issued credited as fully paid and will rank paripassu in all respects with e2v's existing ordinary shares of 5 pence each,including the right to receive all future dividends and other distributionsdeclared after the date of issue, save that the Placing Shares shall not rankfor the proposed final dividend announced on 5 June 2006 of 4.25 pence perordinary share to be paid on 15 September 2006 to shareholders on the registerof members of the Company at the close of business on 25 August 2006.Accordingly, the Placing Shares will trade as a separate line of stock withtheir own ISIN and SEDOL code until the close of business on 25 August 2006. The Placing is conditional, inter alia, on admission of the Placing Shares tothe Official List of the Financial Services Authority and to trading on LondonStock Exchange plc's market for listed securities (together "Admission"). It isexpected that settlement will occur, Admission will become effective anddealings in the Placing Shares will commence on 18 July 2006.
