Devro PLC23 March 2005 DEVRO plc (the "Company") DIRECTORS' INTERESTS Devro has today been notified of the following share dealings by the undernotedDirectors of the Company (the "Directors"). The Directors have advised the Company that they have today exercised anil-price option to acquire 10p ordinary shares in the Company ("Devro Shares")under the Devro 2001 Deferred Bonus Scheme (the "Scheme") as follows: DEVRO SHARES ACQUIRED FOLLOWING DIRECTOR EXERCISE OF OPTIONGraeme Alexander 70,088Trevor Morgan 38,895John Neilson 50,448 Total 159,431 The shares in question were held by the Devro Employee Share Ownership Trust(the "ESOP"). The Directors have an interest in the ESOP as potentialbeneficiaries of the ESOP. The ESOP today transferred a total of 204,641 DevroShares comprising the above options, and options over a further 45,210 DevroShares exercised by other senior executives of the Company under the Scheme.The interest of the Directors decreased accordingly.
