The deferred allocation is under the De La Rue Deferred Bonus and Matching Share Plan ( the "Plan"). The matching allocation of shares will be made at the vesting date subject to performance testing in accordance with the Rules of the Plan.
An additional award of shares will be released on the vesting date in respect of deferred shares released equal in value to the amount of dividends which would have been payable on the deferred shares over the performance period
Total options reported under 22 above inclusive of maximum matching shares which are subject to performance condition being met.
Allocations under this Plan were made to other eligible employees on 26 June 2008. The individuals referred to in disclosure 2 & 3 were initially not included as recipients of allocations. Pursuant to a resolution of the Board dated 28 August 2008 the Board concluded it would be appropriate to include them within the Plan on the same terms and conditions applicable to other recipients of allocations. Consequently the allocation price of £9.085 (Disclosure 21) applicable to allocations on 26 June 2008 has been applied rather than the mid-market price of £815.5 on 20 August 2008.
The Board also decided that the individuals should be eligible for an additional deferred allocation equal in value to the amount of dividends which would have been payable only on the deferred shares allocated on 26 June 2008 under the following payment of the interim dividend on 1 August 2008. (Detailed in table two of Disclosure 20).
