A total of 6,250,000 newordinary shares of 25 pence each ("Placing Shares") have been placed, by HoareGovett Limited ("Hoare Govett") and Citigroup Global Markets U.K. Equity Limited("Citigroup"), with institutions at a price of 600 pence per share, raisingapproximately £37.5 million before commissions and expenses.The Placing Shares will be issued credited as fully paid and will rank pari passu in all respects with Dairy Crest's existing ordinary shares of 25 pence each, including the right to receive all future dividends and other distributions including the interim dividend of 6.7 pence announced todaywith the Company's interim results for the six months to 30 September 2006. The Placing is conditional, inter alia, on admission of the Placing Shares to the Official List of the Financial Services Authority and to trading on London Stock Exchange plc's market for listed securities (together "Admission") taking place no later than 8a.m., 14 November 2006. Application has been made for the Placing Shares to be admitted to the OfficialList of the Financial Services Authority and to be admitted to trading by London Stock Exchange plc on its market for listed securities. It is expected that settlement will occur, Admission will become effective and dealings in the Placing Shares will commence on 14 November 2006.
