(Cohort or the Company)

EBT PURCHASE OF SHARES

The Company was notified on 11 December 2020 by the trustees of the Cohort Employee Benefit Trust (the EBT) that they purchased 500 ordinary shares of 10 pence each in the Company (Shares) on 11 December 2020 at a price of £5.8986 per Share. The Shares held in the EBT are intended to be used to satisfy awards made under the Cohort employee share schemes.

The EBT is a discretionary trust for the benefit of employees of Cohort plc and its subsidiaries. The Executive Directors of Cohort plc are included in the class of beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof.

Following this transaction, which is due to settle on 15 December 2020, a total of 75,200 Shares representing 0.18 per cent of the Company's total voting rights will be held in the EBT.
