Notification of Transactions of Persons Discharging Managerial Responsibilities ("PDMRs")
Close Brothers Group plc ("the Company") was advised on 29 May 2009 by Stephen Hodges (a director and PDMR of the Company) of the following transactions in the Ordinary shares of 25p each in the Company ("Shares"):
1. the exercise on 29 May 2009 of 5,313 awards over nil-cost Shares following satisfaction
of the performance conditions under the Company's Long Term Incentive Plan 2004;
2. the exercise on 29 May 2009 of the following awards over nil-cost Shares under the
Company's Deferred Bonus Scheme following completion of the two-year holding
period:

3. following the exercise of the awards referred to in 1. and 2. above, 188,553 Shares were
sold on 29 May 2009 on the London Stock Exchange at 662 pence per share.
Following the above transactions, Mr Hodges' total beneficial holding in the Company remains unchanged at 693,469 Shares.
