Bank Pekao SA25 May 2007 UNOFFICIAL TRANSLATION (24th May 2007) Report 78/2007: Registration of UniCredit Bank Ltd. capital increase (formerlyknown as Bank Pekao (Ukraina) Ltd.) The Management Board of Bank Polska Kasa Opieki S.A. hereby informs that on theday of 24 May 2007, UniCredit Bank Ltd. (Bank's subsidiary) notified Bank PolskaKasa Opieki S.A. that on 17 May 2007 the Register of Ukrainian Banks in theNational Bank of Ukraine NBU registered the amendments to the Articles ofAssociation of UniCredit Bank Ltd. regarding the increase of share capital ofUniCredit Bank Ltd. by the amount of UAH 252,198,414.15 UAH (say: two hundredfifty two million one hundred ninety eight thousand four hundred fourteen 15/100hryvnias) which amounts to the equivalent of PLN 141,508,530.18 (say: onehundred forty one million five hundred eight thousand five hundred thirty 18/100hryvnias) in keeping with the NBP table of FX rates No. 100/A/NBP/2007 of 24 May2007. On the day of 7 March 2007, the Extraordinary General Meeting of Shareholders ofUniCredit Bank Ltd. adopted a conditional resolution (anchored to the consent ofthe National Bank of Ukraine) on the increase of share capital of UniCredit BankLtd. by the amount of UAH 252,198,414.15 UAH (say: two hundred fifty two millionone hundred ninety eight thousand four hundred fourteen 15/100 hryvnias), whichamounted to the equivalent of PLN 148,620,525.46 (say: one hundred forty eightmillion six hundred twenty thousand five hundred twenty five 46/100 hryvnias) inkeeping with the NBP table of FX rates No. 47/A/NBP/2007 of 7 March 2007. Upon registration by the National Bank of Ukraine NBU of relevant amendments tothe Bank's Articles of Association regarding the capital increase, the sharecapital of UniCredit Bank Ltd. has been increased from the amount of UAH291,475,055. 85 (say: two hundred ninety one million four hundred seventy fivethousand fifty five 85/100 hryvnias) to the amount of UAH 543,673,470.00 (say:five hundred forty three million six hundred seventy three thousand four hundredseventy hryvnias). Bank Polska Kasa Opieki S.A. now holds a total stake of UAH 543,673,470.00 (say:five hundred forty three million six hundred seventy three thousand four hundredseventy hryvnias), i.e. 100% of the share capital of UniCredit Bank Ltd.carrying 100% votes at the General Meeting of Shareholders of UniCredit BankLtd.
