Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons
Balfour Beatty plc (the "Company") was informed on 30 March 2015 by the Trustee of the Balfour Beatty Employee Share Ownership Trust (the "Trust") that each of the following Persons Discharging Managerial Responsibilities ("PDMRs") acquired, for nil consideration, on 30 March 2015 the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown below against his name following the release on 30 March 2015 of awards made in 2012 under the Company's Deferred Bonus Plan:

On 30 March 2015, the Trust informed the Company that, on 30 March 2015, each of the following PDMRs was the subject of an award of Ordinary Shares by the Trust, pursuant to the rules of the Company's Deferred Bonus Plan. The Ordinary Shares were awarded at a price of 241p each.
