ACORN INCOME FUND LIMITED (THE "COMPANY")
RESULT OF GENERAL MEETING
In accordance with the provisions of E.2.2 of the UK Corporate Governance Code (the "Code") the Company advises that for the ordinary resolutions put to members at the General Meeting held on 24 August 2011 valid proxy appointments were made in respect of 2,039,773 voting shares and voting was as follows:
IT WAS RESOLVED to receive the Annual Financial Report for the year ended 31 December 2010. (2,039,773 votes cast, all in favour, and none withheld.)
IT WAS RESOLVED to reappoint KPMG Channel Islands Limited as Auditor to the Company, to hold office from the conclusion of this meeting until the conclusion of the next Annual General Meeting and to authorise the directors to determine its remuneration. (2,039,773 votes cast, all in favour, and none withheld.)
IT WAS RESOLVED that the Company be authorised to make market acquisitions of Ordinary shares in the Company on the terms set out in the Notice of Meeting. (2,039,773 votes cast, 2,035,773 in favour, 4000 votes against and none withheld.)
The Company advises that for the special resolution put to members at the General Meeting held on 24 August 2011 valid proxy appointments were made in respect of 3,788,998 voting shares and voting was as follows:
The Special Resolution in accordance with Article 134 (1) proposing that the Company shall cease to continue as presently constituted was defeated. (3,788,998 votes cast, 1,567,043 in favour, 2,221,995 votes against and none withheld.) As a result, the Company shall continue as presently constituted.
CHANGE IN DIRECTORATE
Pursuant to Listing Rule 9.6.11R the Board of the Company today announce that Mr Michael McKean intends to resign as a Non Executive Director of the Company. Mr McKean's resignation will be effective from 30 September 2011.
