Accelerated bookbuild offering of approximately 25.9 million existing ordinary shares in Redrow plc
Bridgemere Securities Limited and The Steve Morgan Foundation, a charitable trust founded by Mr Steve Morgan, Chairman of Redrow plc ("Redrow" or the "Company") in 2001 (together the "Sellers"), announce that they intend to sell part of their interest in Redrow through an accelerated bookbuild offering to institutional investors (the "Placing") of approximately 25.9 million existing ordinary shares (the "Placing Shares") in Redrow (representing approximately 7 % of Redrow's issued share capital).
Barclays Bank PLC, acting through its investment bank ("Barclays") is acting as Sole Global Coordinator and Bookrunner and Peel Hunt LLP ("Peel Hunt") is acting as Co-Bookrunner on the Placing (Barclays and Peel Hunt, together the "Banks"). The timings for the close of the bookbuild process, pricing and allocations are at the absolute discretion of Barclays and Peel Hunt.
The Sellers are persons closely associated with Mr Steve Morgan. Any of the Company's ordinary shares held by the Sellers which are not sold in the Placing will be subject to a 180 day lock-up from today's date (subject to waiver by the Banks and customary exceptions).
Following the Placing, Mr Morgan and his closely associated vehicles will continue to hold approximately 33% of the issued share capital of Redrow and remains its largest shareholder. As Chairman, he remains fully committed to the business and confident in the outlook. Proceeds from the Placing will be used to diversify the Sellers' investment portfolio.
A further announcement will be made following completion of the bookbuilding and pricing of the Placing.
Redrow will not receive any proceeds from the Placing.
