My point being, at the present time, considering the broken promises and lack of communication, this is clearly a gamble. And you have to be prepared to lose everything.
I, like most of you, looked at the company from a start-up perspective (even when it was WDC), in terms of future potential and RNS updates (£1m contract?)... and therefore you cannot analyse the company in a traditional way i.e. profitability, p/e, value etc.
We have all given ICON 6 months to see what they can do and there is an overwhelming negative sentiment (on this bb anyway). I am more positive long term than most on here, but even I have to concede now that this has as much chance of folding as multiplying...
RB - I’d argue the sp definitely plummeted due to underperformance of WDC. They were making under £100k revenue on costs of over £3m. That is massive underperformance, and why the sp dropped to 0.25p.
The drop since then has been due to dilution. And 70% dilution is about right with all the LNCs.
I still think this is the best opportunity for huge risk/reward. Only put in money you are happy to lose. Completely lose.
My opinion is that the potential share dilution from the £1.375m new Financing Agreement has already been factored into the share price. The drop has been so severe and % wise more than covers the dilutionary impact...
Just looking back at the RNS of preliminary results, they state that there is a £400k of legacy debts still to pay (payment plans in place already), which i presume are part of the £600k legacy debts. The RNS does not mention the potential £400k payable to creditors which would suggest this has been sorted and ICON/WDC will not be paying???!! Good news, right?
All in all, my opinion is that we are near the bottom. This is indeed the turning point. The only negative news now would be the company dissolving...
Which means (to me) that only good news can come.

For the sole reason that Share Prophets are now talking negatively about ICON, I believe this will now turn upwards, significantly. Because Share Prophets are ALWAYS wrong!! Haha...
That's the only bit of good news for a long time...
They did answer some of my questions within the Q&A RNS. Almost word for word of what I submitted through the IR website form.
But let's put this into perspective, and I'm not trying to defend them, but they are a team of less than 10 people, most of them senior directors, who have been focused on legacy issues, now BD and sales (and probably have other jobs). Any resource they have spare is probably doing marketing or supporting the leadership team.
Also, they have stated that employees are foregoing salary, and looking to share in the business' future success...
My guess is that answering questions from shareholders (whether relevant or irrelevant) is not a priority.
Not great for shareholder communications, but you must look at this from the ICON business perspective - they are not going to bring in a person or waste a person's time on answering questions / taking calls etc. if it doesn't add value to the business. It's the harsh reality. And I'd rather they dedicate all their time to BD and generating profit!

If you guys are talking about additional financing, then yes I agree that would cause this sp to drop again. My floor is at 0.10p which keeps being tested.

This is a start up which had legacy issues and is only now beginning to move forward. You cannot expect weekly news releases and loads of PR / IR.
it’s not gonna happen. They don’t have the resource or need.
In time there will be news. In time the market will value ICON fairly. You have to be patient.
To be fair to them, they have achieved a lot so far in my opinion and the sp will reflect the hard work in due course.

People keep saying the drop is overdone and there was no substance to warrant such a big drop... I disagree - there was a c.66% dilution announced! The drop is clearly due to that.
BUT (now the positive bit) the dilution is factored in. I truly believe in my opinion that there is very little downside to this share. And with the right news it can move, a lot.
The only possible downside (that we are aware of) would be if we had to pay the creditors the £400k. But the BoD are confident this is not going to be the case.
I am very positive with this company now.

My last observation on the chart...
I believe we are entering 'node territory' - the converging point; heaven/hell cross as I like to call it.
Looks like this and next week is action time on the chart - could be up or down. DYOR.
I see the RNS as positive. New stake in company. Expanding reach and followers etc... Focus on youngsters and students.
BUT, the best news for me is that they have not issued shares and have gone down the traditional route of a loan. Which means no dilution for us.

The sp keeps testing 0.10p.
So far it hasn't broken it, yet.
From a chartist perspective, we are converging very quickly to a node - which could produce a very large movement in either direction. My take is that we have created a floor at 0.10p, and if this does not break before we converge, the move should be upwards, hard...

RB - the acquisition should only be seen, in my opinion, as access to more followers and access to potential new client base (the reference to £500k p/a of previous contracts).
You can't assume anything about the financial performance of GSN - all they stated was a revenue figure of £500k - this does not mention profit, could be negative cashflow...
reso - that excerpt relates to the new Financing Agreement that will only come into effect IF shareholders approve it AND after they have produced a prospectus.
My opinion is it will be executed. Some think otherwise. BUT, this means there is no guarantee of further dilution.
Also, I believe this news has already been factored into the sp.
GSN is an interesting 'acquisition'... it seems there is no cost to the acquisition and GSN have no liabilities to be transferred to ICONIC. This is good news.
Looks like this is an acquisition of a 'brand' and fanbase, and potential to garner previous contracts (up to £500k p/a).
No tangible negative OR positive news here.
But, the positive takeaway for me is that the company seem to have a strategy for M&A, that includes highly relevant content, namely LGBTI, aimed at millennials and wide audiences.
I wouldn't be surprised if we see acquisitions in companies that focus on climate change, technology/APPS, social value, sustainability etc.
It seems we are getting a picture of the type of audience Iconic want to attract.

I must say, I believe they will almost certainly take the full £1.3m financing (if approved by s/h). I too hope that this will be the final financing and that the BoD start to take a stake in the company post-financing.
I just can't see the existing contracts (or potential near future contracts) being able to cover the HMRC monies owed by WDC and OPEX, as well as the acquisition of SocialAlchemist.
BUT, I do believe the impact on the sp of the Financing will be limited. I think the August drop showed that the market has absorbed the dilution news.
As long as they can stave off the £400k creditors that is not factored into the financing I don't see the sp going below the lows we have already seen.
As I say, I'm positive about ICON and can see huge potential. We just need some cashflow!
SL - but a (decent) broker target is based on insight and prudent calculations, and an expert balancing the businesses performance / potential / risks etc... Not the same as someone randomly posting an arbitrary target with no substantiation.
I am sure you're £15m MCAP is based on your own research and insights, which is fine, and I truly hope the sp gets there.
My frustration is aimed more at the 'amateurs' you refer to - people who just spout a nonsensical target in a unfounded time frame.
