Arysta Life Science (“ALS”) is one of the top 10 agrochemical companies in the world and is the largest privately held, with 2010 revenues of US$1.3bn. 48% of ALS staff are in product sales and marketing. The purchase of Pi equity by ALS, and the company condoning that the information subsequently be made public, would have been unlikely to be sanctioned without ALS having a high degree of comfort in Pi‟s technologies, product line potential, strategy, and management. In the same way as Dave Jones coming on board as Chairman in February was a fillip for Pi, the share purchase at a premium by ALS is a strong verification of Plant Impact‟s business.
US sales through ALS deal anticipated within the next year. The ALS deal includes an evaluation agreement leading to an agreement for ALS to exclusively distribute Pi‟s leading products in the $2.4bn UST&O market, initially targeting the $85m golf course market. The field trials constituting the evaluation phase are already under way, building on the positive results obtained by the USDA and Penn State University. ALS anticipate sales commencement during the next 12 months. As part of the agreement Pi will contribute US$325k over 2 years to field trial costs and marketing.
Arysta Life Science (“ALS”) is the world’s largest privately held agrochemical company, with 2010 revenues of US$1.3bn. On May 24th 2011 Plant Impact (“Pi”) announced ALS will take a 9.1% equity stake in Pi for $3.3m at 45p: a 76% premium to the closing price on May 23rd. The deal includes the rights to ALS for the distribution of Pi’s crop nutrient products in the $2.4bn US turf and ornamental (“UST&O”) and selected key Brazilian markets. Despite a circa 25% reduction in Pi’s 2011 revenue and earnings forecasts due to bureaucracy stifling BugOil® regulatory approval, milestone payments and early sales; we have reduced our execution risk discount on future Pi sales by 10%. This raises our DCF derived NPV from £24m to £44m setting a 96p target price. We assess ALS signing as a high profile partner and investor as significantly strengthening Pi’s investment case.
